Head of Legal and Regulatory

About the role

The Head of Legal will lead the legal function for Helios Towers in Madagascar, acting as the principal legal advisor and Company Secretary. This senior position supports strategic decision‑making, manages legal risk and drives compliance across the business.

Key responsibilities

• Design and implement the company’s legal strategy and governance framework.
• Advise senior leadership on legal, regulatory and compliance matters.
• Manage and mitigate legal risks across all business activities.
• Oversee contract drafting, review and negotiation, including complex agreements.
• Supervise litigation, disputes and relationships with external counsel.
• Act as Company Secretary, ensuring statutory and corporate governance compliance.
• Manage stakeholder relationships with regulators, investors, banks and public institutions.
• Support site acquisition activities, including lease approvals and regulatory compliance.
• Provide legal support to HR, tax and other internal functions.
• Lead, develop and manage the legal team.

Required profile

• Qualified solicitor or barrister with a relevant legal degree.
• Minimum 5–7 years post‑qualification experience, including leading in‑house legal teams.
• Experience in a listed company (FTSE 250 or equivalent) and strong regulatory and compliance background.
• Expertise in corporate and commercial law, M&A and financial transactions.
• Experience working across international or multi‑market environments.
• Strong stakeholder management and influencing skills.
